Terms of Use for adidas Running App

Effective date: 21 November 2025

Welcome to adiClub (the “Club”). The Club includes a membership program and a subscription to the adidas running app (“Running App”) as further set out below in Chapter 1. Additionally, the Terms of Use for adidas Running in Chapter 2 sets out specific terms governing your use of the Running App.

Chapter 1

The adiClub Terms & Conditions

The Club is organised by adidas Hong Kong Limited with Business Registration Number 09940203, whose registered address is 9/F, Tower 1, The Quayside, 77 Hoi Bun Road, Kwun Tong, Kowloon, Hong Kong (“adidas,” “we,” or “us”). When we refer to "you" or "your" we mean you, the person accessing these terms and conditions (the “Terms”). These Terms govern your participation in the Club and your subscription to the Running App. By participating in and joining the Club, you agree to be bound by: (i) these Terms; (ii) our Platform Terms of Use ("Platform Terms of Use"); and (iii) the applicable Privacy Policy—either the Privacy Policy or, if you use the Running App, the Privacy Policy (Running App Users) (collectively, the “Privacy Policy”).

adidas AG is the parent company of the adidas group, which includes several affiliated companies; among them adidas Hong Kong Limited.

Before you join the Club, please read these Terms carefully, in particular those bold-faced and underlined terms, which contain important information relating to your rights and obligations as well as limitations and exclusions which may apply to you. If you have any questions, comments or suggestions about the terms or contents of these Terms, please feel free to contact us during the designated office hours via the contact methods listed under Clause 20. We are willing to help and provide appropriate assistance.

By clicking the “Agree” button to these Terms when joining the Club, you are deemed to have fully read, understood and accepted these Terms in all aspects. If you do not agree with these Terms or any part hereof, please immediately stop signing up for the Club.

VALIDITY AND AMENDMENT OF THESE TERMS

These Terms shall apply to you when you submit a Club application.

adidas may amend these Terms from time to time in accordance with applicable laws and regulations and for the purpose of maintaining trading order, protecting consumer rights, adjusting Club plans or related services, etc. If adidas amends these Terms, adidas will notify you by any one or more of the following methods: a) emails, b) our official website at https://www.adidas.com.hk (the "Website"), c) SMS.

Any amendment to these Terms shall become effective upon publishing on the Website (or any other effective date as specified by us). Please check these Terms regularly to keep yourself posted of relevant amendments in time. If you are not agreeable to any amendment, you shall immediately cease to use the Club services. If you continue to use the Club services after the amendment becomes effective, you will be deemed to have fully accepted such amendment.

ELIGIBILITY

To participate in the Club and to use the Running App, you must be at least 18 years old and a legal resident of Hong Kong Special Administrative Region of the People's Republic of China (“Hong Kong”) or Macau Special Administrative Region of the People's Republic of China (“Macau”). By enrolling and participating in the Club and using the Running App, you confirm that you meet these eligibility requirements.

JOINING THE CLUB

If you meet the eligibility criteria above, you can join the Club and use the Running App by filling out a registration form on the Website, on the Running App, on the adidas App (“adidas App”) or by filling out an electronic registration form in adidas retail stores. The registration form will require you to provide your email address and phone number (which must be a Hong Kong or Macau phone number). In addition, you must complete the phone number verification process according to our instructions. Once you provide the requisite information and complete the verification process, your Club membership account will be successfully created. No purchase of any products is required to join the Club. If you join the Club, you agree to provide and maintain true, accurate, current and complete information about yourself as prompted by the registration form, otherwise adidas reserves the right not to accept the application or to cancel the relevant registration. All personal data you provide to adidas will be subject to adidas' Privacy Policy. Each individual can only register for one Club membership account. After the review by adidas, all the duplicated Club applications, duplicated Club membership accounts and the Points in those relevant Club membership accounts will be cancelled.

Club membership account is not transferrable and shall not be leased or inherited at any time and shall not be used for other purposes (including but not limited to mortgage). You shall be fully liable for the consequences arising from violation of this Clause.

At any time, we may review the validity of the information for your Club registration in accordance with applicable laws, regulations and rules, and may log you out or terminate your Club based on the results of the review.

EARNING POINTS

As a member of the Club, you will be entitled to earn membership level points (“Level Points”) and points to spend (“Points to Spend”) (together, the “Points”).

You will earn Points for purchases (subject to the limitations set out in these Terms) that you make on the Website, the adidas Appor in selected participating adidas retail stores in Hong Kong or Macau (the "Stores") (together, the "Eligible Channels"). For every HK$1 spent you will earn 1 Level Point and 1 Point to Spend. Any amount spent which is less than HK$1 will not be counted towards the Points.

Purchases include purchases of regular priced and discounted adidas products. Purchases at stores other than the Eligible Channels will not qualify for Points (even if you purchase adidas products).

In addition to earning Points for purchases, you can also earn Points for certain interactions with us. The number of Points available will be as set out at https://www.adidas.com.hk/en/adiclub. These may include the following (availability subject to adidas’s sole discretion):

Welcome bonus: When you first successfully register as a member of the Club, we will automatically credit your account with Points to thank you for joining.

Profile bonus: If you submit a complete profile on the adidas App or Website then you will be awarded additional Points. This profile bonus can only be earned once. Subsequent changes to your profile will not be awarded Points, unless explicitly stated by us at that time.

Birthday bonus: You may be eligible for bonus Points on your birthday based on your level. This will be automatically credited to your membership account. Birthday bonus Points will be awarded only once during a calendar year.

Running App bonus: You can earn points by completing certain challenges or joining certain events as set out in the Running App. A maximum of 85 points may be earned via sporting activities per day, unless otherwise specified by us.

From time to time, we, in our sole discretion, may change, discontinue, or add interactions where you can earn Points and change the number of Points earned, with or without prior notification to you.

You must provide your adidas membership identification (email address or membership ID) in the Stores, or be logged into your adidas account on the Website or adidas App to receive the eligible Points for your purchases or interactions.

Club members will start earning Points from the date they register for the Club, and no prior transactions or interactions will be eligible for Points. Membership start dates for the Club may vary for members depending on their account type.

You will only be entitled to accumulate a maximum of 100,000 Points to Spend (the “Limit”). If you reach the Limit but engage in an activity that should earn you Points to Spend, we will add 0 Points to Spend to your account, however this will reset the 365-day expiry period (as set out below in Clause 5).

For adidas products purchased at any of the Stores, the Points will be generated and become effective on the next day; for orders for adidas products placed on the Website or adidas App, the Points will be generated and become effective on the day after the products have been shipped to the member. After the purchase of adidas product, members can return the adidas products according to the Return and Exchange Policy published by adidas with the recognised official receipt. The points generated out of the purchased adidas product will be deducted immediately if the adidas product is returned or refunded.

Cash discounts or any amount deducted by coupons will not be counted towards the Points (for example, if a member uses a HK$400 discount coupon on a transaction with a total purchase price of HK$1,000, only 600 Points will be added from the transaction).

Members can check the Points after logging in to the membership account on the Website.

Notwithstanding any other provisions in these Terms, no Points will be generated in the following cases:

(a) If members cannot provide their membership account number before payment when making purchase of adidas products at any adidas Stores; Any claim request of Points after the transaction is made will not be entertained;

(b) Certain adidas products for which it was expressed to be disregarded for the purpose of accumulating Points;

(c) Shipping fee of fees for customization services arising out of purchase made on the Website;

(d) Complimentary gifts or giveaways for promotion events or gifts with purchase;

(e) adidas products purchased with staff discounts;

(f) If members resell their adidas products on third-party sites or e-commerce platforms, the Points generated from such transaction will not be counted, and adidas has the right to deduct or adjust the Points which has already been generated at its discretion.

If the Member has conducted any dishonest or illegal transactional behaviour, or any behaviour which in our sole opinion would tarnish the adidas brand or reputation, adidas has the right to cancel the transaction, deduct or adjust the Points, or restrict member from acquiring Points.

Application can be made to adidas to correct any error relating to Points within 30 days after the generation or change thereof. If a member finds any error in the Points within 30 days after the generation or change of the same, and such error is caused by adidas, the member can submit relevant formal documents to adidas and request for correction within aforesaid 30-day period. Upon receiving correction request together with formal receipt or any other document recognized by adidas from the member, adidas will make the correction within 60 days. In case of any disputes regarding the correctness of the Points, adidas reserves the right of final decision.

adidas is in charge of the operation and management of the scheme relating to Points. adidas has the right to cancel, invalidate, deduct or adjust the Points under specific circumstances, and will notify members with the same through email address, phone or SMS. Members may raise objection against the cancellation, invalidation, deduction or adjustment of Points in writing within 30 days after adidas issues the above notice. In case of any dispute, adidas reserves the right of final decision.

EXPIRATION OF POINTS

Level Points

Level Points will remain valid for 12 months. The Level Points will expire on the last day of the relevant calendar month, for example if you earned Level Points on June 9, 2022, they will expire on June 30, 2023, unless adidas explicitly states otherwise. Level Points cannot be transferred between members. Level Points have no cash value and cannot be exchanged for cash.

Points to Spend

To reward our most loyal members, there will be more adiClub benefits for those who earn points on a regular basis. Points to Spend will expire, on a rolling basis and to the end of the calendar month, 12 months after your last purchase or activity that earned you Points to Spend (see example below). Any Points to Spend can only be retained for a maximum period of 12 months - towards the end of the month - before they expire automatically. Please note that neither a purchase later fully returned nor the birthday bonus will extend the expiration of your Points to Spend.

Example: If you earned Points to Spend on 1 January 2022 and 10 January 2022, all your Points to Spend will be saved until end of January 2023. If you made a purchase on 21 June 2022 and earned some more Points to Spend, the Points to Spend earned in January 2022 will still only be saved until end of January 2023, and the Points to Spend earned in June 2022 will be available for 12 months after that purchase until the end of June 2023. The Points to Spend earned in January 2022 and June 2022 will in any case not be extended further.

Points to Spend cannot be transferred between members. Points to Spend cannot be exchanged for cash.

CLUB LEVELS

The Club has four separate levels. You can move up through the different levels by earning Level Points.

Level 1 is the entry-level for members with 0–999 Level Points. You just need to register for the Club to be part of this level, and no purchase of any products is required.

Level 2 is for members with 1,000–3,999 Level Points.

Level 3 is for members with 4,000–7,999 Level Points.

Level 4 is for members with 8,000 Level Points or more.

You can climb to the higher levels by accumulating the number of Level Points mentioned above within 12 months of the end of the month of registration or current level entry (the “Membership Year”). At higher levels, you can access even greater benefits. If level upgrades are achieved by acquiring Level Points through purchases of our products, we reserve the right to delay this upgrade for a period that is equal to the applicable return period for the purchased product(s).

You must meet the requalification requirements at the end of your Membership Year in order to remain at your current level. If not, you will be downgraded to the level below. Returns can cause you to drop down multiple levels. For example, if you return an order or product, the points earned will be deducted, which could cause you to drop by that number of points.

LEVEL REQUALIFICATION

If you are in level 2, 3, or 4 and you do not earn enough Level Points during the current requalification period, you will be downgraded to the next level down, regardless of the number of qualification Level Points you have accumulated by this date.

The requalification period starts on the date you reached a new level and ends 12 months later, always at the end of the month. The number of Level Points you need in order to requalify for your current level is equal to the minimum Level Point balance needed to enter that level.

Level Points earned after your last level entry will count towards requalification Level Points. The new requalification period will start on the exact date of that level upgrade and end 12 months later at the end of the month. After a level upgrade, your requalification Level Points will be set to 0.

If you do not earn enough Level Points for your level during the requalification period, you will be downgraded. The downgrade will take place after the last day of the requalification period, which is always at the end of the month.

If you are downgraded, your new requalification period will start on the exact date of your downgrade and end 12 months later at the end of the month, unless you upgrade during this period. After a level downgrade, your requalification Level Points will be set to 0. If a member does not earn enough Level Points for their level within the requalification period, they will be downgraded. The downgrade will take place after the last day of the requalification period, which is always at the end of the month.

REWARDS

Entry and progress through each of the above-mentioned levels will unlock a set of new rewards for members as set out here https://www.adidas.com.hk/en/adiclubrewards.html.

You will have access to the rewards in your current level and the levels below them. For example, a level 3 member will have access to the rewards from level 3 as well as level 2 and level 1 (except for the lower levels’ entry discount vouchers).

Certain rewards will be conditional upon you agreeing to separate terms and conditions applicable to that reward which will be made available to you when redeeming that reward. In addition, the following terms and conditions apply to the following specific rewards (availability of rewards are subject to adidas’s sole discretion):

Discount Vouchers: These are single use discount vouchers that are unlocked when you join the Club or enter a new level. These will have limited validity periods and maximum discount values of which details will be communicated to you on receipt of the discount vouchers. Certain product exclusions may apply. These discount vouchers may not be combined with other promotions or discounts. The terms and conditions of the following Discount Vouchers are listed at the end of these Terms: (a) 15% off Welcome coupon; (b) 20% off Birthday Coupon; (c) 20-30% Tier Up Incentive Coupon; (d) 15-30% off Discount Coupon. For other types of Discount Vouchers, please refer to the terms and conditions notified to you upon issuance.

Early access to product launches: You will get early access to certain adidas product launches. These will exclude Hype product launches and is subject to pre-allocated stock availability for members.

Free subscription to the Running App: available from entry into the Club and subject to acceptance of any applicable terms of use.

Hype priority access: You will get priority access to Hype product launches. However, this does not guarantee that you will get the Hype product if you participate. This reward depends on the availability of Hype product launches.

Exclusive access to sales: You may receive exclusive access to certain sales that we make available. The duration of early access may vary between sales and could also depend on which level you are in at the time of the sale. Our standard terms and conditions for sales will also apply.

Specific rewards (whether products or experiences) are available while supplies last and may be subject to change, discontinuance, limitations, and substitutions by us, at our discretion and at any time without notice. The above terms are subject to the terms and conditions applicable to each specific reward. In case of any discrepancy, the terms and conditions attached to the specific reward shall prevail.

USE OF POINTS TO SPEND

Points to Spend may be redeemed against a number of use cases, including but not limited to the following (availability of rewards are subject to adidas’s sole discretion):

Vouchers

You will be entitled to use your Points to Spend to purchase a voucher (e.g. a 20% off voucher) (“Voucher”). The Voucher may then be used to make an order on the adidas App, on the Website or in the selected stores. Certain exclusions may apply, and any additional terms and conditions will be presented to you when making a purchase.

You can only use one Voucher at any one time when making a purchase and it cannot be combined with any other vouchers or discount codes, unless otherwise specified by us in the terms and conditions. The Voucher will only apply to the product price and will not apply to any delivery costs.

No Voucher can be exchanged, transferred or redeemed for cash or Points to Spend. You may only use a Voucher for personal, non-commercial use and must not sell any Voucher. Vouchers may not be used in sales or promotional activities including as giveaways or prizes in competitions. We reserve the right to cancel any Voucher that we suspect has been resold or obtained in connection with an unauthorised sales or promotional activity, and take any appropriate legal actions against you.

b. Money can’t buy products (“MCBP”)

You will be entitled to use your Points to Spend to purchase MCBP and any such purchase will be subject to our eCom Terms and Conditions and any additional terms presented to you when making a purchase.

For the avoidance of doubt, if you return any MCBP in accordance with the eCom Terms and Conditions and are entitled to a reimbursement of your Points to Spend, this will be subject to the Limit as set out above at Clause 4 (for example, if you return a MCBP that you purchased for 500 Points to Spend but have 99,990 Points to Spend at the time of the reimbursement, we will reimburse you 10 Points to Spend).

c. Raffles

You will be entitled to use your Points to Spend to participate in raffles. These will be subject to you agreeing to separate terms and conditions applicable to each raffle.

d. Member-exclusive experiences

You will be entitled to use your Points to Spend to participate in Club member-exclusive experiences, such as training classes, meet-and-greet events and other experiences. Your participation in these experiences will be subject to the separate terms and conditions applicable to each experience.

For the avoidance of doubt, the above terms are subject to the terms and conditions applicable to each specific reward. In case of any discrepancy, the terms and conditions attached to the specific reward shall prevail.

USE OF ACCOUNT

You are responsible for maintaining the confidentiality of your password and account, and are fully responsible for any and all activities that occur under your password or account. The Club is for your personal use only. You must not share your adidas membership identification and/or password or in any way make them accessible to others. You must immediately inform the adidas customer services team of any unauthorised use of your password or account or any other breach of security.

You agree that you shall not:

access, use, reproduce, modify, download, sell, transfer, publish or otherwise make available your membership of the Club for any commercial purposes;

do any act or thing that might damage, disrupt or otherwise interfere with the operation of the Club;

abuse your membership of the Club or use it for any unlawful or unauthorised purpose (which include transmitting any computer viruses through your account or using your account in a manner which is discriminatory, offensive, abusive, malicious, defamatory or other violates or infringes the rights of anyone else); and

transfer, sale or barter (or attempt to transfer, sale or barter) any of your rewards or member exclusive promotional offers.

RIGHT TO WITHDRAW FROM THE CLUB MEMBERSHIP

You may withdraw from your Club membership without stating any reasons. To exercise this right of withdrawal, you must inform us of your decision to withdraw from your Club membership by sending us a clear declaration (e.g. an email) stating your decision to withdraw from the agreement.

CONSEQUENCES OF WITHDRAWAL FROM THE CLUB MEMBERSHIP AGREEMENT

If you withdraw from your Club membership on the basis of your right of withdrawal as set out above, the Club will become inaccessible to the you and you shall refrain from using your Club membership and from making it available to third parties.

For the consequences of withdrawal in respect of any data that qualifies as personal data, the provisions of the Privacy Policy apply.

TERMINATION; EXPIRATION; CHANGES TO THE CLUB

adidas has the right to terminate your Club membership at its sole discretion by issuing a notice to you, including but not limited to the occurrence of any of the following events, in which you’re your membership will be terminated with effect from the date of notice, provided that adidas has the right to immediately terminate the Membership without any notice upon occurrence of event as set out in Clause 13.1(c) below:

Information relating to Club membership application is found to be inaccurate;

Wrongful accumulation of member points, or use of member services for any purpose other than those set out under these Terms;

Death or loss of civil capacity of the member;

The member disrupts the activities of other members, or uses the personal data of other members thereby causing harms to such other members, or conducts any other acts which infringe legitimate rights and interests of other persons;

Malicious bills or other acts of defrauding, misappropriating or illegally possessing any member points, subsidies, promotions or benefits of other ,embers (if any);

The member's violation of the terms and conditions of these Terms, damage of public order and good morals, or violation of the legal and regulatory requirements;

The member engages in any deception, forgery, fraud or committed any other abuse of the Club.

We reserve the right to revoke some or all of your Points or rewards if we determine that you received Points or a reward due to an error, through fraud or deception, or in any manner not authorised.

If you or we cancel your Club membership, you will lose all your accumulated Points. If you cancel your membership, you may choose to rejoin the Club by registering on the Website or the adidas App. When restarting your Club membership, your previously-earned Points will not continue to your new Club membership.

APP UPDATES

We may, from time to time, offer and request you to update the adidas App for security and technical reasons. It is your responsibility to install such updates without delay and to update the operating system of your end device if this is required for such updates. We will not be liable for any loss resulting from the lack of the relevant update when you fail to install the update that we supplied to you.

PRIVACY POLICY

adidas uses the information you provide and share to enhance our services and your experience. adidas respects the privacy of its members. Please see the Privacy Policy (Non-Running App Users) regarding the collection, use and protection of your personal data by adidas. The “Privacy Policy (Non-Running App Users)” forms an integral part of these Terms. You must read the Privacy Policy (Non-Running App Users) carefully before you become a Club member or use member services. In addition, if you use the Running App, you must agree to the Privacy Policy (Running App Users) within the Running App.

If you do not agree to this Clause 15 or any of the terms, conditions and rules (including but not limited to the applicable Privacy Policy) or any part thereof referred to in this Clause 15, please stop using the member services immediately.

INDEMNITY OF DAMAGES AND LIMITATION OF LIABILITY

You agree to indemnify and hold harmless adidas and member entities in its group, and members, management, directors, employees, agents, licensees and suppliers of the aforesaid companies (collectively referred as “Designated Third Party(ies)”) against any claims, losses, liabilities, expenses or damages arising out of or in connection with your behaviours, your breach of these Terms, your illegal acts or your infringement or aiding and abetting in infringement of rights of adidas, its group companies and the Designated Third Party(ies).

Unless otherwise explicitly provided under law and to the maximum extent permitted by the applicable law:

adidas shall not be liable for any indirect, incidental, special, punitive, penalized or consequential damages in whatever form, no matter how the damages may occur, and whether arising out of tort, breach of contract or otherwise.

To the maximum extent permitted by applicable laws, adidas declares that it has made no representations or warranties, no matter in what form, whether expressed or implied, (except for any warranty under applicable laws applicable to consumers that cannot be legally excluded), but this Clause 16.2(b) would not affect your rights as a consumer under the law.

adidas shall not be liable for any damages or losses to any members in the absence of clear evidence proving intentional misconduct or gross negligence of adidas.

adidas shall not be liable for any loss or damage that is not foreseeable. Loss or damage is foreseeable if it is an obvious consequence of our breach or if it was contemplated by you and us at the time we entered into these Terms.

To the largest extent permitted by applicable law, adidas will not be liable for any claims, requests, liabilities or litigation caused by or arising from the omissions, negligence and/or failure to provide us with the latest information by customer or member, or the accuracy or completeness of such information.

To the extent permitted by law, our aggregate liability to you in respect of any loss or damage suffered and arising out of or in connection with these Terms, whether in contract, tort (including negligence) or for breach of statutory duty, or in any other way, shall not exceed the amount of HK$400.

APPLICABLE LAW AND JURISDICTION

These Terms and the transactions relating to these Terms are governed by the Hong Kong law, and shall be interpreted in accordance with the laws of Hong Kong.

Any dispute or controversy arising out of or in connection with these Terms shall be settled by amicable and faithful negotiation between you and adidas to the extent possible. In the absence of gross negligence, adidas reserves the final right of decision on such dispute or controversy. If the negotiation fails, the dispute shall be subject to the exclusive jurisdiction of the competent Hong Kong court.

If any provision of these Terms or any part in any provision of these Terms is determined as illegal, invalid or unenforceable, such provision or such part will be deemed to be severed from the other provisions or other parts in the relevant provision, the validity and enforceability of the remaining provisions of these Terms or the remaining part of the relevant provisions shall not be affected.

18.THIRD PARTY RIGHTS

18.1 Subject to Clause 18.2, no person shall have any right under the Contracts(Rights of Third Parties) Ordinance (Cap 623, Laws of Hong Kong) ("Rights of Third Parties Ordinance") to enforce or enjoy the benefit of any of the provisions of these Terms.

18.2. The Designated Third Party defined in Clause 16.1 of these Terms may rely on any provision of these Terms by the virtue of Rights of Third Parties Ordinance only if and to the extent that:

(a) expressly such provision limits or excludes the liability of the Designated Third Party; or

(b) such provision expressly confers on the Designated Third Party other rights or benefits (including but not limited to any indemnity).

18.3. Unless as otherwise expressly provided in these Terms, no right or benefit under any provision of these Terms enforceable under the Rights of Third Parties Ordinance shall be assigned by the Designated Third Party to another person.

19. LANGUAGE

19.1 If there is any inconsistency or ambiguity between the English version and the Chinese version of these Terms, the English version shall prevail.

Terms and conditions of Discount Vouchers

15% off Welcome e-Coupons

The “15% off Welcome e-Coupons” (“Welcome e-Coupons”) includes the below 2 discount e-coupons:

a coupon valid for 24 hours upon issuance; and

a coupon valid from the date of issuance until 23:59 (HK time) of the 14th day.

All time is based on the time of receipt by the server of adidas Hong Kong Limited (“adidas”).

Welcome e-Coupons are only applicable at adidas APP, adidas Official Online Store (www.adidas.com.hk) or designated physical adidas stores (“Designated adidas Stores”) (except Outlet stores).

These Terms of Use for adidas Running (“Running Terms of Use”) govern your usage of the Running App and the connected online platform (“Platform”) offered by adidas Hong Kong Limited (the “Services”) as well as the access to digital content through the Running App (“Running Digital Content”) in the currently valid version which can be viewed at any time within the Services. In case of any inconsistency between the terms in Chapter 1 and Chapter 2 regarding the use of Services and Running Digital Content, the terms under this Chapter 2 shall prevail.

Your health is very important to us. ALWAYS consult your doctor about your athletic behavior. The adidas Running App, the Platform and the Running Digital Content therein do not substitute your doctor, and adidas is not responsible for your behavior. The contents of the adidas Running App and the Platform, regardless of whether they are provided by adidas, its partners, vendors or users, are not meant to supplement, let alone replace, the information provided by doctors or pharmacies. By accepting these Running Terms of Use, you confirm that you are solely responsible for your health.

VALIDITY OF THESE TERMS

Changes to the Terms of Use: adidas may amend these Running Terms of Use from time to time in accordance with applicable laws and regulations and for the purpose of maintaining trading order, protecting consumer rights, adjusting the Services and Running Digital Content, etc. If adidas amends these Running Terms of Use, adidas will notify you by any one or more of the following methods: a) email, b) in the Running App or c) in adidas’s official website at https://www.adidas.com.hk. You are advised to regularly check the Running App whether the Running Terms of Use have changed.

Integration: You consent to the application of these Terms of Use and any documents incorporated therein by reference either by (i) registering a Club membership or (ii) accessing Running Digital Content where no subscription is required. If you do not agree to these Running Terms of Use, please do not register Club membership and please do not use the Services or access the Running Digital Content.

Extent: These Running Terms of Use shall apply regardless of the points of access to the Services , Platform and Running Digital Content, including (sub-)domains and mobile applications.

Additional terms: When using the Services or accessing the Running Digital Content on mobile devices, additional terms and conditions of the respective mobile device provider and the mobile carrier may apply.

PREREQUISITES FOR USE

Account and terms: Neither the use of the Services nor access to Running Digital Content shall be possible without consent to these Running Terms of Use, adiClub Terms & Conditions and consent to our Privacy Policy (Running App Users). The Services may be used only if you have registered a Club membership. The use of the Services further requires that you maintain and use a device compatible for the use of the respective Service and at the required update level.

Data processing and transmission: You hereby confirm your knowledge that to operate the Services and make their features available, data, including personal identifiably information, must be processed by us and transmitted from the device you use the Service with to us and back. The processing of such information is necessary to perform your contract with us. To provide certain features of the Services or subject to your consent, information might also be shared with entities which belong to the adidas Group (adidas AG of Adi-Dassler Straße 1, 91074, Herzogenaurach, Germany and all its affiliates), or to third parties, which may reside outside of Hong Kong Special Administrative Region of the People's Republic of China (“Hong Kong”), Macau Special Administrative Region of the People's Republic of China (“Macau”) or your home country.

Costs incurred with data transmission: Upon downloading the Running App, logging-in using your Club membership account details, and enabling data transmission via the device settings, relevant data is transmitted from the device to the Platform. Such data transmission is necessary for the functionality of the adidas Running App and requires connection to the internet. You hereby confirm your knowledge that as a result of the transmission of data from your device to the Platform, certain mobile service costs might be incurred that have to be borne by you. Additional terms and conditions provided by the mobile service providers apply.

USER CONTENT

General: You are permitted to upload, save, publish, distribute, transmit, and share data and information, such as – but not limited to - text, posts, comments, images, messages, interactions and the like (“User Content”) with other Users via the Services in accordance with statutory law and these Running Terms of Use.

Disclosure: We reserve the right to save or disclose User Content to third parties, to the extent this is required by law, or legally permissible and reasonably necessary, to

comply with statutory law, or court or administrative orders;

ensure compliance with these Running Terms of Use or any other terms agreed between you and us;

react to claims of breaches of law raised by third parties; or

safeguard our rights, property, or personal safety, or the like of Users and the public.

License to User Content: You hereby grant us a worldwide, irrevocable, royalty-free, non-exclusive, transferable, sub-licensable and unlimited license to use all User Content generated, transmitted, saved, and published via the Services. Irrespective of the type of usage, we shall have the right to use all User Content both as part of the Services and for any other activity we or a company affiliated with us carry. This shall include the right to change and edit such User Content unless changes or edits impair your material interests. To the extent feasible, if we use User Content outside the Services, we shall note that such content was created by you.

Ownership: We do not claim ownership of any User Content and will not supervise such content.

Deletion: We reserve the right to delete User Content without giving reasons and without giving any advance notice.

Inaccurate User Content: We are not responsible for inaccurate User Content created by any User.

Indemnification: You shall indemnify us for all claims raised by third parties because of an infringement of their rights in connection with your User Content uploaded to any of the Services. You shall bear the costs of any legal proceedings, in which we may be involved in connection with such claims, including all court costs and attorney’s fees to the extent permitted by law, unless you have not been at fault in causing such infringement.

Support: If a claim is brought by a third-party in relation to your User Content, you shall promptly, truthfully and completely make available to us all information available to you that may be necessary to verify such claim and/or defend against it.

USER OBLIGATIONS

Account safety: You are responsible for maintaining the confidentiality of your Club membership identification and password and are fully responsible for all activities that occur under your Club membership and password. The Services and Running Digital Content are provided for your personal use only. You must not share your adidas membership identification and/or password or in any way make them accessible to others. You must immediately inform us of any unauthorized use of your account or any other breach of security via email to: support-en@hk.onlineshop.adidas.com

Limitation of use: Each user of the adidas Running App and/or the platform shall not:

use the Services or any Running Digital Content for any purpose other than its intended use;

access, use, reproduce, modify, download, sell, transfer, publish or otherwise make available your Club membership account, the Services or any Running Digital Content for any commercial purpose;

commit any act that might damage, disrupt or otherwise interfere with the operation of the adidas Running App, Platform and/or Services;

abuse or use your Club membership account, the Services or the Running Digital Content for any unlawful or unauthorised purpose (which includes transmitting any computer viruses through your Club membership account or using your Club membership account in a manner which is discriminatory, offensive, abusive, malicious, defamatory, or otherwise violates or infringes the rights of anyone else);

violate the Community Guidelines set out in Schedule 1 of these Running Terms of Use.

adidas may run promotions and free offers in or in connection with the adidas Running App and the Platform, which may be subject to additional terms or restrictions. These promotions and offers may not be transferred between users.

RULES OF CONDUCT

You must:

truthfully provide, and keep current and complete, your Club membership account;

only save, publish, transmit and distribute User Content, you are authorized to pass on. This shall also apply to User Content subject to intellectual property rights, such as trade names and trademarks. You are exclusively responsible for your User Content;

not save, publish, transmit or distribute any User Content that is racist, insulting, discriminating, denunciating, sexual, glorifies violence or is otherwise illegal;

not send spam, chain letters or messages to more than one recipient at one time;

not carry out any disruptive interferences in the Services or their technical environment, by use of technical or electronic aids, such as hacking attempts, brute force attacks, planting of viruses/worms/trojans and other disrupting attempts regarding software or hardware;

not copy, distribute, transmit or collect by use of technical aids, e.g., by crawlers or bots, accessible details without the consent of the respective owner;

provide prompt notice via email to support-en@hk.onlineshop.adidas.com of any detected breaches of the aforementioned obligations;

diligently care for your personal details and the personal details of other Users accessible via the Services and do not allow third-parties access to personal details of other users accessible via the Services;

regularly save User Content externally, e.g., on an external storage medium, hard drive or in the cloud. You are solely responsible for any lost or impaired User Content.

BREACH OF USER OBLIGATIONS

In order to ensure the proper and reliable provision of the Services, we might impose the following sanctions upon a breach of user obligations:

warning;

deletion of User Content;

temporary deactivation of your Club membership account; and

cancellation (irrevocable deactivation) of your Club membership account.

The type of sanction shall depend on the purpose, impact, and type of the breach considering both our and your interests.

EXCLUSION FROM THE SERVICES

Reasons for exclusion from the services: We may refuse access to the Services and/or Running Digital Content at any time, without prior notice and to refuse all current or future use of the Services and/or Running Digital Content (or any portion thereof), without you being entitled to a refund of any payments made, if we determine that you:

are ineligible in accordance with the prerequisites stated within these Running Terms of Use,

have violated any of these Running Terms of Use or the user obligations stated therein, any other applicable terms or any applicable law or regulation,

engaged in any deception, forgery, fraud or committed any other abuse of your Club membership account, or

provided registration data that is false, inaccurate, not current or incomplete, or we have reasonable grounds to suspect that such information is false, inaccurate, not current or incomplete.

Consequences of exclusion: If you have generated, transmitted, saved, published, or otherwise made User Content available through the Services, the rights granted to us in accordance with Section 3.3 in relation to this User Content, which does not qualify as personal data, shall expire upon terminating the use of / being excluded from the Services. This does not apply if such User Content:

has no use outside the context of the Services,

is exclusively related to your use of the Services,

has been aggregated by us with other data and cannot be disaggregated or can only be disaggregated with disproportionate effort, or

was generated by you together with other Users, provided that other users can still use the data.

For personal data, the provisions of thePrivacy Policy shall apply.

In your area of responsibility, this risk is borne solely by you. We do not assume any warranties in this regard.

Own risk: You access and use the Services and Running Digital Content at your own risk. This applies without limitation to:

The related use of any hardware, including, but not limited to, (i) the respective device, e.g., in the course of using the feature “measuring pulse”, by pressing the photo light for a prolonged period, the user’s finger may heat up, (ii) chest straps, and (iii) smartphone dongles;

Limitation of Liability: NEITHER ADIDAS NOR ANY OF ITS AFFILIATES, SUPPLIERS, OR SERVICE PROVIDERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES OF ANY KIND, UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, USE, DATA, LOSS OF OTHER INTANGIBLES, LOSS OF SECURITY OF INFORMATION YOU HAVE PROVIDED IN CONNECTION WITH YOUR USE OF THE SERVICES AND RUNNING DIGITAL CONTENT, OR UNAUTHORIZED INTERCEPTION OF ANY APPLICABLE INFORMATION BY THIRD PARTIES, EVEN IF ADVISED IN ADVANCE OF APPLICABLE DAMAGES OR LOSSES. IN PARTICULAR, AND WITHOUT LIMITATION, NEITHER ADIDAS NOR ITS AFFILIATES, SUPPLIERS, OR SERVICE PROVIDERS WILL BE LIABLE FOR DAMAGES OF ANY KIND RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES OR RUNNING DIGITAL CONTENT UNLESS SUCH DAMAGE IS THE RESULT OF ANY WILFUL MISCONDUCT ON THE PART OF ADIDAS. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THE SERVICES. THE MAXIMUM LIABILITY OF ADIDAS AND ITS AFFILIATES, SUPPLIERS, OR SERVICE PROVIDERS FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING WITHOUT LIMITATION NEGLIGENCE) OR OTHERWISE, SHALL NOT EXCEED HKD400.

We may suspend, withdraw, discontinue or change any or all parts of the adidas Running App and Platform. In most cases adidas makes such changes to enhance or improve the adidas Running App and/or the Platform. We may also make modifications if such are necessary to comply with changes in legislation, technical and/or safety requirements or to reflect changes in our company and product strategy and to respond to the market and competitive situation. Insofar as the changes will not have a material adverse effect on your use of the adidas Running App and/or the Platform, adidas will not provide prior notice of any changes to the adidas Running App and/or the Platform.

CONTENT AND TRADEMARKS

Copyright and ownership: All of the Running Digital Content featured or displayed in the adidas Running App or on the Platform, including but not limited to text, graphics, photographs, images, moving images, sound, and illustrations protected by intellectual property law other than User- Content, is owned by adidas, its licensors, vendors, agents, and/or its content providers.

Use of Content: You must not use the adidas Running App, the Platform or any Running Digital Content other than for its intended purpose. Except where we tell you otherwise in the adidas Running App or the Platform, you may view, play, print, and download documents, audio, and video found in the adidas Running App or on the Platform for personal, informational, and non-commercial purposes only. Except as authorized under applicable copyright law, you are responsible for obtaining permission before reusing any copyrighted material that is available in the adidas Running App or on the Platform. For the purpose of these Terms, the use of any such material on any other mobile application, website, or online service is prohibited. You are responsible for complying with all laws which apply to you and your use of the adidas Running App and the Platform. The adidas Running App, the Platform, the Running Digital Content, and all related rights shall remain the exclusive property of adidas or its licensors unless otherwise expressly agreed. You will not remove any copyright, trademark, or other proprietary notices from material found on the adidas Running App or in the Platform.

Trademarks: All trademarks, service marks, and trade names of adidas used as part of or in connection with the Platform (collectively "Marks") are trademarks or registered trademarks of the adidas Group, or its affiliates, partners, vendors, or licensors. You may not use, copy, reproduce, republish, upload, post, transmit, distribute, or modify adidas Marks in any way, including in advertising or publicity pertaining to distribution of materials in the adidas Running App or on the Platform, without adidas’ prior written consent. The use of adidas Marks on any other mobile application, website, or online service is not allowed. adidas prohibits the use of adidas Marks as a "hot" link on or to any other mobile application, website, or online service unless establishment of such a link is approved in advance.

ACCESS, CHANGES AND DISCONTINUATION

Access: We do not provide any guarantees regarding the availability of access to the Services and/or the Running Digital Content and shall not be liable for any temporary unavailability or interruption of the access.

Changes: We may suspend, withdraw, discontinue or change any or all parts of the adidas Running App and Platform. In most cases adidas makes such changes to enhance or improve the adidas Running App and/or the Platform. We may also make modifications if such are necessary to comply with changes in legislation, technical and/or safety requirements or to reflect changes in our company and product strategy and to respond to the market and competitive situation. Insofar as the changes will not have a material adverse effect on your use of the adidas Running App and/or the Platform, adidas will not provide prior notice of any changes to the adidas Running App and/or the Platform.

Discontinuation: adidas reserves the right to discontinue the adidas Running App and/or the Platform. We may discontinue the adidas Running App and/or the Platform if this is necessary to comply with changes in legislation, technical and/or safety requirements or to reflect changes in our company and product strategy and to respond to the market and competitive situation. All users shall be given reasonable prior notice of discontinuation of the adidas Running App and/or the Platform either by email or through communication within the adidas Running App and/or the Platform. Please note that during the notice and the discontinuation the following limitations may apply:

It is no longer possible to download the adidas Running App on another device.

The adidas Running App and the Platform are no longer updated for any purpose other than security and conformity with the Terms. This means that if the operating system of your device is updated or if other relevant third-party technical services change during this period, it may not be possible to use the adidas Running App and the Platform. adidas assumes no liability for this.

Connection to the Platform: Subsequent to discontinuation of the adidas Running app, it will be disconnected from the Platform. The adidas Running App functionalities may be impaired, and data will no longer be synchronized with the Platform, but may still be available locally on your mobile device.

CONFORMITY

Conformity with the contract: We have a legal obligation to make sure that the Services and Running Digital Content conform to the contract.

Updates. As part of this legal obligation, we will, from time to time, offer and request you to install security and technical updates for the Services. It is your responsibility to install such updates without delay and to update the operating system of your end device if this is required for such updates. We will not be liable for any lack of conformity of the Services resulting from the lack of the relevant update when you fail to install the update that we supplied to you.

Remedies. If the Services do not conform to the contract of sale and/or the statutory conformity requirements, you have the right to have the defect corrected. Your right to claim lack of conformity expires two (2) years after the termination of your Membership.

Cooperation. You are required to reasonably cooperate with us to assess whether the cause of a lack of conformity lies in your digital environment. If you do not provide such cooperation, the burden of proof of any conformity of the Services will lie with you.

MISCELLANEOUS

Governing Law and Jurisdiction: These Running Terms of Use (including all policies referred to herein) are governed by are governed by the Hong Kong law, and shall be interpreted in accordance with the laws of Hong Kong. Any dispute or controversy arising out of or in connection with these Running Terms of Use shall be subject to the exclusive jurisdiction of the competent Hong Kong court.

Independent Contractors: These Running Terms of Use do not, and shall not be construed to, create any partnership, joint venture, employer-employee, agency or franchisor-franchisee relationship between you and adidas.

Severability: If any provision of these Running Terms of Use is found to be unlawful, void or for any reason unenforceable, such provision will be deemed severable from these Running Terms of Use and will not affect the validity and enforceability of any remaining provision.

Assignment: You may not assign, transfer, or sublicense any or all of your rights or obligations under these Running Terms of Use without our express prior written consent.

Force Majeure: We will not be responsible for failures to fulfill any obligations under these Running Terms of Use due to causes beyond our reasonable control, including but not limited to war(s), terrorist attack(s), strike(s), fire(s), explosion(s), pandemic(s) (including but not limited to Covid-19) or lockdown(s) related to pandemic(s), flood(s), earthquake(s), or other natural disasters.

Entire Agreement: These Running Terms of Use, together with all policies referred to herein, constitute the entire agreement between you and adidas relating to the subject matter herein and supersedes any and all prior or contemporaneous written or oral agreements or understandings between you and adidas relating to the subject matter herein.

Language: If there is any inconsistency or ambiguity between the English version and the Chinese version, the English version shall prevail.

12.8 Third Party Rights: No person shall have any right under the Contracts (Rights of Third Parties) Ordinance (Cap 623, Laws of Hong Kong) to enforce or enjoy the benefit of any of these Terms and Conditions.

adidas Running Community Guidelines

The adidas Running community is a global fitness family united by a passion for sports. Sports are only fun when we all play by a common set of rules. We’d like to make sure the rules of the game are clearly outlined so that every user feels that we’re on the same team. Below, you’ll find our Community Guidelines with more information about what we expect from our members and what you can expect from us.

RESPECT OTHERS

Every user is a valued member of the adidas Running community and should be treated as such. Please remember to be kind and respectful when posting on our platforms. As the old saying goes, if you don’t have anything nice to say, don’t say anything at all. Respecting all members of the community also means refraining from posting images or text that depicts or references offensive content. Likewise, unauthorized commercial advertising, or any use of “bots” or automated updates from unapproved partners is strictly prohibited. If such content is posted, it will be removed and further violations of this rule may result in the removal of the user. Also, misusing adidas Running platforms or app functions to spam users is prohibited and will result in account deletion.

Some examples include, but are not limited to:

Bullying, Intimidation, and Degrading Content: No bullying, harassment, or unwanted contact. This includes repeated, sexual, mass contact, and harassment based on age, gender, race, or sexual orientation. No degrading content about bodily functions, celebrating death or medical conditions, or dehumanizing comparisons.

Harmful Statements and Threats: No calls for self-harm or suicide, threats to release personal data, or physical harm.

Sexual and Derogatory Content: No attacks based on sexual experiences, severe sexualized commentary, or derogatory sexualized images and terms.

Denial and False Claims: No denying violent tragedies, or making false claims about victims of such events.

Discrimination and Exclusion: No negative claims or content promoting exclusion based on physical appearance, sexual orientation, gender identity, or vaccination status.

Human Exploitation: No content facilitating or promoting human trafficking, child sales, illegal adoptions, or labor exploitation.

PUT HEALTH FIRST

Encouraging a healthy and active lifestyle for everyone is our top priority. Just as we are advocates of it, we expect members of our community to promote safe and healthy habits. An open discussion which raises awareness of issues such as body image, eating habits, etc. in a respectful way is accepted. However, text or images which promote or glamorize dangerous techniques will not be tolerated and will be removed from our platforms.

Some examples of prohibited content:

Self-Harm and Suicide: No content promoting or depicting suicide, self-harm, or eating disorders. Non-graphic recovery content is allowed.

Sensitive Health Content: No ridicule of victims of these issues or real-time portrayals of self-harm.

PLAY FAIR

Friendly and fair competition can be a great motivator and there are plenty of ways to compete with other users in the adidas Running app - but activities/content that raise flags about suspected cheating will be investigated and may be removed. If we see persistent cheating, we may remove the user from the app, but let's hope that never happens. Also, please ensure you provide accurate information about yourself when registering in the apps - you can find more information about this topic in the adidas Running Terms of Use.

Some examples:

Cheating: No cheating in Challenges, no cheating in Virtual Races, no mining adiClub points (e.g. superhuman pace, unrealistic activity duration, etc.). False information: No false information about yourself should be provided when registering in the app (e.g. False name, wrong age, stolen images, etc).

KEEP IT LEGAL

We encourage all members of the community to motivate each other by creating their own unique and original content and sharing it in the adidas Running app and on social platforms. Please make sure you have the rights to share any images or music you use in the content you share. Please note, you may face legal action for distribution of content which you are not authorized to use.

Some examples of prohibited content include:

Spam/Scam Policies: No high-frequency posting/spamming, false engagement promises, deceptive URLs, or fraudulent activities.

Violence: No threats, depictions of violence, or solicitation of violent services. No encouragement of bringing weapons to sensitive locations.

Hate Speech and Terrorism: No support or representation of terrorist attacks, hate events, or related perpetrators. No glorification of violent ideologies or organizations.

Weapons: No content showing or sharing prohibited weapons.

Adult Sexual Content: No sexual imagery, secret sexualized imagery, or exploitation attempts. No threats to share private sexual conversations, or mocking of non-consensual sexual touching.

Child sexual exploitation: No content, activity or interactions that threaten, depict, praise, support, provide instructions for, make statements of intent, admit participation in, or share links of the sexual exploitation of children (including real minors, toddlers or babies, or non-real depictions with a human likeness - such as in art, AI-generated content, fictional characters, dolls, etc).

SPEAK UP

As a member of the community, you are encouraged to take action directly in the app if you suspect these guidelines are being violated. If you wish to report a user for violating the guidelines above, you can do so by visiting their profile and clicking “Report User” or contacting our Customer Service Team (English: support-en@hk.onlineshop.adidas.com; Chinese: support-zh@hk.onlineshop.adidas.com.)

Your choice to report the user will not be communicated to the affected user, and will only be seen by adidas Running. We will investigate your report and choose a course of action. Please understand that we cannot guarantee all users will follow these guidelines, but together we can do our best to keep the adidas Running community healthy and safe.

Please note these guidelines are subject to change and we will update them regularly based on the needs of the community.

adiClub條款與細則

Club由愛廸達香港有限公司營辦,商業登記號碼為09940203,註冊地址為香港九龍觀塘海濱道77號碼頭區第一座9樓(以下稱「adidas」、「我們」或「本公司」)。當我們提及「您」或「您的」時,是指閣下,即需要了解有關條款及細則的人(以下稱「條款」)。本條款規範您參與 Club 及訂閱 Running App 之相關事宜。透過參與並加入Club,您同意受: (i) 本條款; (ii)我們的平台使用條款(以下稱「平台使用條款」) 以及(iii) 適用的《私隱政策》—包括 《私隱政策》;或若您使用Running App,則適用《私隱政策(Running App 使用者)》(統稱「私隱政策」)。

資格

年滿18歲,並為中華人民共和國香港特別行政區(以下簡稱「香港」)或中華人民共和國澳門特別行政區(以下簡稱「澳門」)的合法居民,方可加入Club及使用Running App。 透過加入並參與Club,以及使用 Running App,即表示您確認符合上述資格要求。

加入Club

如果您符合上述資格,即可加入Club及使用Running App。方法包括:在網站、Running App、 adidas 應用程式(以下簡稱「adidas App」)或於adidas零售店填寫電子註冊表格。註冊表格要求您提供電子郵件地址及電話號碼(必須是香港或澳門的電話號碼)。此外,請務必按照指示完成電話號碼驗證程序。當您提供所需資料並完成驗證程序,您的Club會員帳戶將成功建立。 加入Club無需購買任何產品。如您加入Club,即表示您同意提供並保持註冊表格所提示的真實、準確、最新及完整的信息,否則adidas保留不接受申請或取消相關註冊的權利。您提供予adidas的所有個人資料將遵守adidas的私隱政策。每名會員僅可註冊一個Club會員帳戶。經adidas審核,所有重複的Club申請、重複的Club會員帳戶及相關Club會員帳戶的積分將被註銷。

Club會員帳戶不得轉讓、出租、繼承或用於其他用途(包括但不限於抵押)。您應對因違反本條款所產生的後果承擔全部責任。

我們可隨時根據適用的法律、法規和規則,審核您的Club註冊訊息的有效性,並可根據審核結果登出或終止您的Club。

賺取積分

作為Club會員,您有權獲得會員等級積分(「等級積分」)及待使用積分(「待使用積分」)(統稱「積分」)。

您可通過在網站、 adidas App或指定參與adidas香港或澳門(以下統稱「門店」)的零售店(以下統稱「合資格渠道」)購買商品(受本條款列明的限制約束)來賺取積分。每消費1港元您可獲得1等級積分及1待使用積分。任何少於1港元的消費將不計入積分。

購買包括正價及折扣的adidas產品。在非合資格渠道的門店購買產品(即使是adidas產品),將不符合賺取積分的要求。

除透過購買賺取積分外,您亦可因與我們進行特定互動而獲得積分。可獲取積分之數量詳載於https://www.adidas.com.hk/en/adiclub。此類互動可能包括以下內容(具體安排由 adidas 全權決定):

新人福利:當您首次成功註冊成為Club會員,我們將自動向您的帳戶加入積分作為感謝。

貼心設計:在adidas App或網站上提交完整個人資料,您將獲得額外積分。此獎勵每位會員僅可獲得一次。之後更改個人資料不再獲得積分,除非我們另行明確說明。

生日獎勵:根據您的會員等級,您可以在生日當天獲得積分。有關積分將自動存入您的會員帳戶。生日獎勵每年僅發放一次。

Running App 獎勵:您可透過完成 Running App 中所載明之特定挑戰或參加指定活動以獲得積分。除非另有本公司明確規定,否則每天透過運動活動最多可獲得 85 點積分。

我們可隨時(有或無提前通知)更改、停止或新增您可通過互動賺取積分的方式,或更改已獲得的積分數量。

您需在門店提供您的adidas會員識別訊息(如電子郵件地址或會員ID),或在網站或adidas App上登入您的adidas帳戶,方可賺取合資格的購物或互動積分。

Club會員將自註冊當日起開始累積積分,任何先前的交易或互動均不符合積分資格。Club會員起始日期可能因會員的帳戶類型而有所不同。

您最多可累積100,000積分(「上限」)。達到上限後,若參與的活動本應獲得待使用積分,我們將向您的帳戶添加0積分,但此操作將重置365天的到期期限(詳見第5條規定)。

購買adidas產品時: 在門店,積分於次日生效; 在網站或adidas App上下單,積分於產品發貨當日生效。 如會員根據adidas的「退換貨政策」退還產品,因購買該產品而產生的積分將被扣除。購買adidas產品後,會員可憑認可的官方收據,按照adidas公佈的「退換貨政策」退回adidas產品。因購買adidas產品而獲得的積分,若該產品被退回或退款,相關積分將會立即被扣除。

以現金折扣或優惠券抵扣的金額不計入積分(例如,若會員在1,000港元的交易中使用400港元優惠券,僅增加600積分)。

會員可登入其帳戶,在網站查閱積分記錄。

儘管有上述規定,下列情況不會獲取任何積分:

會員未在任何adidas門店付款前提供會員帳戶,付款後的積分請求將不被受理;

特定不符合積分累積條件的adidas產品;

網站購買定制服務產生的運費;

促銷活動贈品或購買贈品;

以員工折扣購買的adidas產品。

此外,會員在第三方網站或電商平台轉售adidas產品的交易不計算積分,adidas保留扣除或調整相關積分的權利。

如會員存在失信、違規交易或損害adidas品牌及聲譽的行為,adidas有權取消交易、扣減積分或限制會員賺取積分的權利。

會員可於積分生成或更改後30天內,向adidas申請更正積分錯誤。會員在積分產生或變更後的30天內,若發現積分有誤,且該錯誤由adidas造成,可向adidas提交相關正式文件,並於上述30天內申請更正。adidas在收到會員的更正申請書及adidas認可的正式收據或其他文件後,將於60日內進行更正。如對積分的正確性存有爭議,adidas保留最終裁決權。

adidas負責積分計劃的管理,有權取消、撤銷或調整積分,並通過電子郵件、電話或短信通知會員。會員如對此有異議,需於30日內以書面形式提出。如有爭議,adidas保留最終裁決權。

積分到期

等級積分

等級積分的有效期為12個月。等級積分將於相關日曆月的最後一天到期,例如,如果您在2022年6月9日獲得等級積分,則該積分將於2023年6月30日到期,除非adidas另有明確說明。會員之間不能轉讓積分。等級積分沒有現金價值,亦不可兌換為現金。

獎賞積分

為回饋我們的忠實會員,我們將為那些定期獲得積分的會員提供更多adiClub福利。待使用積分的有效期為自您上一次通過購買或參與活動獲得積分起計的12個月,並以滾動方式計算,在相應日曆月的月末過期(參見以下示例)。待使用積分最多可保留12個月,之後將自動到期。請注意,無論是隨後完全退貨的購買還是生日獎勵,都不會延長待使用積分的有效期限。

例子:如果您分別在2022年1月1日及2022年1月10日獲得了待使用積分,則這些積分的有效期均為2023年1月底。如果您在2022年6月21日再次購物並賺取待使用積分,則2022年1月獲得的待使用積分仍將在2023年1月底到期,而2022年6月獲得的待使用積分有效期則延至2023年6月底。無論如何,2022年1月及2022年6月獲得的待使用積分將不會進一步延長。

待使用積分不可轉讓予其他會員,亦不可兌換為現金。

Club級別

Club設有四個獨立級別。通過賺取等級積分,您可以晉升至不同級別。

第1級:會員擁有0-999等級積分,為入門級會員。您只需註冊成為俱乐部會員即可達到該級別,無需購買任何產品。

第2級:會員獲得1,000-3,999等級積分。

第3級:會員獲得4,000-7,999等級積分。

第4級:會員獲得8,000或以上等級積分。

您可在註冊或當前級別報名月份結束後的12個月內(即“會員年份”) 累積等級積分 從而晉升至更高級別。在更高級別,您可享有更多優惠。若因購買產品而獲得等級積分導致會員級別升級,我們有權根據所購產品的退貨期限延遲該升級。

在會員年份結束時,您需符合再資格要求,方能保持當前會員級別。否則,您將被降至較低級別。退貨可能導致會員級別降低。例如,若您退回訂單或產品,您所賺取的積分將被扣除,從而可能導致您的積分減少並影響級別。

級別提升

如果您處於第2級、第3級或第4級,且在當前資格重新評估期間未獲得足夠的等級積分,無論在此日期之前累積的資格等級積分數量如何,您將被降級至下一級。

會員等級重新評估期自您進入新等級之日起開始,於12個月後的月底結束。當前等級恢復原有等級所需的等級積分數,等於進入該等級所需的最低等級積分餘額。

在您進入新等級後賺取的等級積分將計入晉升等級的積分。新會員等級的重新評估期自本次晉升的具體日期開始,於12個月後的月底結束。晉升至新等級後,您的等級積分將重置為0。

如果在恢復原有會員等級期間,您賺取的積分不足,則會被降級。降級將在資格恢復期的最後一天後生效,資格恢復期通常於月底結束。

如果您已被降級,則新資格恢復期將從降級的具體日期開始,於12個月後的月底結束,除非您在此期間再次晉升。降級後,您的等級積分將重置為0。如果在重新獲得會員資格期間,會員等級積分不足,仍會被降級。降級將在資格恢復期的最後一天後生效,資格恢復期通常於月底結束。

獎勵

新品搶先入手:您將享有adidas新品發售的提前購買資格。新品發售不包括限量Hype產品,且視會員預分配庫存情況而定。

Running App免費訂購:加入Club後即可使用,但須接受適用的使用條款。

熱門Hype優先購買通道:獲得優先購買限量Hype產品的資格,但不保證一定可獲得Hype產品。該獎勵取決於Hype產品的發售情況。

專享特價機會:您將收到部分促銷活動的獨家購買資格。提前購買的持續時間可能根據銷售情況及您的會員等級而有所不同。我們的標準銷售條款和條件亦將適用。

特定獎勵(無論是產品還是體驗)僅於供應持續期間提供,並可能由我們自行決定隨時更改、停止、限制或替代,恕不另行通知。上述條款均受各項特定獎勵適用條款及條件的規限。如與獎勵內容不一致,則以具體獎勵所附條件為準。

使用待使用積分

可使用積分可用於多種情況,包括但不限於以下情形(獎勵的可得性由 adidas 全權決定):

a. 消費券

您將有權使用待使用積分購買優惠券(例如,優惠券8折)(「優惠券」)。 然後,您可使用優惠券於adidas App、網站或指定門店下單。某些例外情況可能適用,購買時將向您提供任何附加條款及細則。

每次購買僅可使用一張優惠券,且不得與其他優惠券或折扣碼結合使用,除非《條款及細則》另有規定。此優惠券僅適用於產品價格,不適用於任何運送成本。

優惠券不可兌換、轉讓或兌換為現金或待使用積分。您只能將優惠券用於個人非商業用途,且不得出售任何優惠券。優惠券不得用於包括競賽贈品在內的促銷活動。我們保留取消任何因未經授權銷售或促銷活動而售出或獲得優惠券的權利,並可能對相關人士採取任何適當的法律行動。

b. 金錢買不到的產品(“MCBP”)

您將有權使用待使用積分購買 MCBP。任何此類購買將受我們的 eCom 條款與條件及購買時向您提供的其他任何條款約束。

為免生疑問,如果您根據 eCom 條款與條件退回任何 MCBP 並有權報銷待使用積分,此將受上述第4條中規定的限制約束(例如,如果您退回了使用500待使用積分購買的 MCBP,但報銷時您有99,990待使用積分,我們將報銷10待使用積分)。

c. 抽獎

您將有權使用待使用積分參與抽獎活動。每次抽獎活動將適用於單獨的條款與條件。

d. 會員專屬體驗

您將有權使用待使用積分參與會員專屬體驗,如訓練課程、面對面活動和其他體驗。您對這些體驗的參與將受適用於每種體驗的單獨條款與條件的限制。

為免生疑問,上述條款須受各項特定獎勵的適用條款及條件規限。如與獎勵內容不一致,以具體獎勵所附條件為準。

帳戶使用

您有責任為密碼及帳戶保密,並對密碼或帳戶下發生的任何及所有活動負全責。Club僅供您個人使用。您不得與他人共享您的 adidas 會員標識和/或密碼,也不得以任何方式將其提供給他人。如發現任何未經授權使用您的密碼或帳戶,或發生任何其他違反安全規定的行為,必須立即通知 adidas 客戶服務團隊。

您同意不得:

訪問、使用、複製、修改、下載、出售、轉讓、發布或以其他方式基於任何商業目的提供Club會員資格;

做任何可能損害、擾亂或以其他方式干擾Club運作的行為或事情;

濫用Club會員資格,或將其用於任何非法或未經授權的目的(包括通過您的帳戶傳輸任何電腦病毒,或以歧視、冒犯、濫用、惡意、誹謗或其他侵犯他人權利的方式使用帳戶);以及

轉讓、出售或易貨(或嘗試轉讓、出售或易貨)您的任何獎勵或會員專屬促銷優惠。

退出Club會員的權利

您可以退出Club會員資格,無需說明任何理由。為行使此項退出權,您必須向我們發送一份明確聲明(如電子郵件),聲明您決定退出協議,以告知我們您決定退出Club會員資格。

退出Club成員協議的後果

如果您根據上述退會權利退出Club會員,您將無法進入Club,您應避免使用您的Club會員資格,並避免將其提供給第三方。

對於符合個人數據條件的任何數據撤回的後果,適用《隱私政策》的規定。

終止;到期;Club變更

adidas 有權全權酌情向閣下發出通知,包括但不限於發生下列任何事件,即閣下於通知日期終止其會員資格,惟 adidas 有權於發生下文第 13.1(c)條所述事件時立即終止會員資格,而毋須發出任何通知:

發現有關Club成員申請的資料不準確;

不當累積會員積分,或會員服務用於本條款規定以外的任何目的;

成員死亡或喪失民事行為能力;

擾亂其他成員的活動,或者利用其他成員的個人資料,給其他成員造成損害,或者實施其他侵犯他人合法權益的行為;

惡意票據或者其他欺詐、挪用、非法佔有會員積分、其他會員補貼、晉升或者利益的行為;

成員違反本條款和條件,破壞公共秩序和良好道德,或違反法律和監管要求;

該成員對Club進行任何欺騙、偽造、欺詐或任何其他虐待。

如果我們認定您是因為錯誤、欺詐或欺騙,或以未經授權的任何方式獲得積分或獎勳,我們保留撤銷您部分或全部積分或獎勳的權利。

如取消會員資格,可選擇通過網站或adidas App註冊重新加入Club。 當您重新開始Club會員時,您之前獲得的積分將不會繼續作為您的新Club會員。

應用程式更新

出於安全和技術原因,我們可能會不時向您提供並請求您更新 adidas App。您有責任立即安裝此類更新,並更新您終端設備的操作系統(如果此類更新需要更新)。如果您未能安裝我們提供給您的更新,我們將對因缺少相關更新而造成的任何損失概不負責。

損害賠償和責任限制

您同意賠償和保護adidas及其集團內的成員實體,以及上述公司的成員、管理層、董事、員工、代理人、被許可人和供應商(統稱為「指定第三方」),使其免受因您違反這些條款、您的違法行為或您侵犯、幫助和縱容侵犯adidas、其集團公司和指定第三方的權利而引起或與之相關的索賠、損失、責任、費用或損害。

除非法律另有明確規定,並在適用法律允許的最大範圍內:

adidas對任何形式的間接、偶然、特殊、懲罰性、懲罰性或後果性損害概不負責,不論損害如何發生,也不論其是由於侵權、違約或其他原因造成的。

在適用法律允許的最大範圍內,adidas聲明它不作任何陳述或保證,無論以何種形式,無論是明示或暗示的,(除了根據適用於消費者的適用法律作出的任何保證,這些保證不能在法律上被排除),但本條款16.2(b)不會影響您作為消費者在法律下的權利。

adidas沒有確鑿證據證明adidas故意或者重大過失的,對會員造成損害或者損失不承擔責任。

adidas對不可預見的任何損失或損害不承擔責任。如果損失或損害是我們違反條款的明顯後果,或者是我們和貴公司訂立條款時考慮過的,則損失或損害是可以預見的。

在適用法律允許的最大限度內,adidas對因疏忽、疏忽和/或未能向我們提供客戶或成員的最新訊息或這些訊息的準確性或完整性而引起或引起的任何索賠、請求、責任或訴訟概不負責。

在法律允許的範圍內,我們因本條款所蒙受或引致的任何損失或損害,不論是合約、侵權行為(包括疏忽)或違反法定責任,或以任何其他方式,向貴公司所承擔的總責任不得超過港幣400元。

適用法律和管轄權

本條款及與本條款有關的交易受香港法例管轄,並須根據香港法例解釋。

由本條款引起或與之有關的任何爭端或爭議應盡可能由貴方與adidas友好和忠實談判解決。在沒有重大過失的情況下,adidas保留對此類爭端或爭議的最終決定權。協商不成的話,將由香港法院進行裁決。

倘本條款的任何條文或本條款的任何條文的任何部分被釐定為非法、無效或無法執行,則該等條文或該等部分將被視為與相關條文的其他條文或其他部分分離,則本條款的其餘條文或相關條文的其餘部分的有效性及可執行性不受影響。

第三方權利

除第18.2條另有規定外,根據香港法例第623章《合約(第三方權利)條例》(「第三方權利條例」),任何人士均無權執行或享有本條款任何條文之利益。

本條款第16.1條所界定的指定第三方,僅當且僅當符合下列條件時,方可依據第三方權利條例的本條款的任何條文:

該條文明文限制或排除被指認第三方的責任;或

該條文明確賦予指定第三方其他權利或利益(包括但不限於任何賠償)。

Unless as otherwise expressly provided in these Terms, no right or benefit under any provision of these Terms enforceable under the Rights of Third Parties Ordinance shall be assigned by the Designated Third Party to another person.

adidas Running使用條款

本《adidas Running使用條款》(以下稱「Running 使用條款」)規範您使用愛廸達香港有限公司所提供之 Running App 及其連結之線上平台(以下稱「平台」)(合稱「服務」),以及透過 Running App 存取數位內容(以下稱「Running 數位內容」)之行為。您可隨時於服務中檢視目前有效版本。若第一章與第二章之條款在服務及 Running 數位內容之使用上有任何不一致,則以本第二章之條款為準。

您的健康對我們而言至關重要。請務必諮詢醫師,了解您的運動行為。 Running App、平台及其中之 Running 數位內容並非醫師之替代,adidas 對您的行為不負責任。無論內容由 adidas、其合作夥伴、供應商或使用者提供,Running App 及平台之內容均非用以補充,更非取代醫師或藥師所提供之資訊。接受本 Running 使用條款,即表示您確認自身健康完全由您自行負責。

條款之效力

條款變更:adidas 得依適用法律法規,並為維護交易秩序、保障消費者權益、調整服務及 Running 數位內容等目的,不時修訂本 Running 使用條款。若 adidas 修訂本 Running 使用條款,將透過以下一種或多種方式通知您:a) 電子郵件,b) Running App 或 c) adidas 官方網站(https://www.adidas.com.hk)內通知。建議您定期檢視 Running App,以確認本 Running 使用條款是否有所變更。

條款整合: 您同意本使用條款及其所引用之文件適用於以下情況:(i) 註冊Club會員,或 (ii) 存取無需訂閱之Running 數位內容。若您不同意本 Running 使用條款,請勿註冊Club會員,亦請勿使用服務或存取 Running 數位內容。

適用範圍: 本 Running 使用條款適用於您存取服務、平台及 Running 數位內容之任何方式,包括(子)網域及行動應用程式。

其他條款: 當您於行動裝置上使用服務或存取 Running 數位內容時,相關行動裝置供應商及行動電信業者之額外條款與細則亦可能適用。

使用先決條件

帳戶與條款: 未經同意本 Running 使用條款、adiClub條款及細則及本公司《隱私權政策》(Running App 使用者),不得使用本服務或存取 Running 數位內容。僅於您已註冊本Club會員後,方可使用本服務。使用本服務亦須確保您持有並使用與該服務相容之裝置,且維持必要之更新版本。

資料處理與傳輸: 您在此確認並知悉,為運作本服務及提供其功能,必須處理資料(包括個人識別資訊),並自您使用服務之裝置傳輸至本公司,並回傳至該裝置。此類資訊之處理為履行您與本公司間契約所必須。為提供特定服務功能,或經您同意,相關資訊亦可能分享予 adidas 集團成員(adidas AG,地址:Adi-Dassler Straße 1, 91074 Herzogenaurach, Germany 及其所有關係企業),或第三方,該等第三方可能位於中華人民共和國香港特別行政區(「香港」)、澳門特別行政區(「澳門」)或您所在國家以外。

資料傳輸所產生之費用: 當您下載 Running App、使用Club會員帳戶登入並於裝置設定中啟用資料傳輸時,相關資料將自裝置傳輸至平台。此資料傳輸為 adidas Running App 功能所必須,並需連接網際網路。您在此確認並知悉,因資料自您的裝置傳輸至平台,可能產生特定行動服務費用,該費用須由您自行承擔。另行動服務供應商所提供之其他條款與細則亦適用。

使用者內容

一般規定: 您可依據相關法律及本 Running 使用條款,透過本服務上傳、儲存、發布、散布、傳輸及分享資料與資訊,例如但不限於文字、貼文、評論、圖片、訊息、互動及類似內容(以下稱「使用者內容」),並與其他使用者互動。

披露: 在法律要求或法律允許且合理必要的範圍內,我們保留儲存或向第三方披露使用者內容之權利,以:

遵守法律規定,或法院或行政機關命令;

確保遵守本 Running 使用條款或您與我們之間所同意的其他條款;

回應第三方提出的法律侵權主張;或

維護我們的權利、財產或人身安全,或保護使用者及公眾之安全。

使用者內容授權: 您在此授予我們全球性、不可撤銷、免權利金、非專屬、可轉讓、可再授權且無限制之授權,以使用所有透過本服務產生、傳輸、儲存及發布的使用者內容。無論使用方式為何,我們有權將所有使用者內容用於本服務及我們或關係企業所進行的任何其他活動。此授權包括修改及編輯該內容之權利,惟不得損害您的重大利益。在可行範圍內,若我們於本服務以外使用使用者內容,將註明該內容由您創作。

所有權: 我們不主張對任何使用者內容享有所有權,亦不會監督該內容。

刪除: 我們保留刪除使用者內容之權利,無需提供理由,亦無需事先通知。

不正確內容: 我們不對任何使用者所創建之不正確內容負責。

賠償責任: 若因您上傳至本服務之使用者內容侵害第三方權利而引起任何主張,您應賠償我們因此遭受之所有請求。您並應承擔與該等請求相關之所有法律程序費用,包括法院費用及律師費,法律允許範圍內,除非您對該侵權並無過失。

協助義務: 若第三方就您的使用者內容提出主張,您應立即、真誠且完整地向我們提供所有您可取得之資訊,以供我們驗證該主張及/或進行抗辯。

使用者義務

帳戶安全: 您須負責維護Club會員帳號及密碼之機密性,並對該帳號及密碼下所發生之所有活動承擔全部責任。本服務及 Running 數位內容僅供您個人使用。您不得分享您的 adidas 會員帳號及/或密碼,亦不得以任何方式使其可供他人存取。若發現帳號遭未經授權使用或任何其他安全漏洞,您必須立即透過電子郵件通知我們:support-zh@hk.onlineshop.adidas.com。

使用限制: 每位 adidas Running App 及/或平台使用者不得:

將服務或任何 Running 數位內容用於其預期用途以外之目的;

存取、使用、複製、修改、下載、銷售、轉讓、發布或以其他方式將您的Club會員帳號、服務或任何 Running 數位內容用於商業目的;

進行任何可能損害、干擾或影響 adidas Running App、平台及/或服務運作之行為;

濫用或將您的Club會員帳號、服務或 Running 數位內容用於任何非法或未經授權之目的(包括透過帳號傳送電腦病毒,或以歧視、冒犯、辱罵、惡意、中傷或其他侵犯他人權利之方式使用帳號);

違反本Running 使用條款附表一所載的社群守則。

adidas 可能於 adidas Running App 及平台內或相關活動中提供促銷及免費優惠,該等優惠可能受額外條款或限制約束。此類促銷及優惠不得於使用者間轉讓。

行為規範

您必須:

如實提供並保持Club會員帳號資訊之最新及完整;

僅儲存、發布、傳輸及散布您有權傳遞之使用者內容。此規定亦適用於受智慧財產權保護之內容,例如商號及商標。您對您的使用者內容承擔全部責任;

不得儲存、發布、傳輸或散布任何具種族歧視、侮辱、歧視、誣告、色情、暴力美化或其他非法之使用者內容;

不得傳送垃圾郵件、連鎖信件或一次向多位收件人發送訊息;

不得以技術或電子手段(如駭客攻擊、暴力破解、植入病毒/蠕蟲/木馬或其他干擾軟硬體之行為)對服務或其技術環境進行任何破壞性干擾;

未經相關所有人同意,不得以技術手段(如爬蟲或機器人)複製、散布、傳輸或收集可存取之資料;

對於上述義務之任何違反,應立即透過電子郵件通知 support-zh@hk.onlineshop.adidas.com;

謹慎保護您的個人資料及透過服務可存取之其他使用者個人資料,並不得使第三方取得其他使用者之個人資料;

定期將使用者內容備份至外部儲存媒介,例如外接儲存裝置、硬碟或雲端。您須自行負責任何遺失或損壞之使用者內容。

違反使用者義務

為確保服務之正常及可靠提供,若您違反使用者義務,我們可能採取以下制裁措施:

警告;

刪除使用者內容;

暫時停用您的俱樂部會員帳號;

取消(不可撤銷停用)您的Club會員帳號。

制裁措施之類型將視違反行為之目的、影響及性質,並兼顧雙方利益而定。

排除使用服務

排除原因: 若我們判斷您符合以下情況,得於任何時間拒絕您存取服務及/或 Running 數位內容,無需事先通知,並拒絕您目前或未來使用服務及/或 Running 數位內容(或其任何部分),且您無權要求退還任何已支付款項:

不符合本 Running 使用條款所載之使用先決條件;

違反本 Running 使用條款或其中所載之使用者義務、任何其他適用條款或任何適用法律法規;

涉及任何欺騙、偽造、詐欺或其他濫用您的俱樂部會員帳號之行為;

提供虛假、不正確、非最新或不完整之註冊資料,或我們有合理理由懷疑該資訊為虛假、不正確、非最新或不完整。

排除後果: 若您透過服務產生、傳輸、儲存、發布或以其他方式提供使用者內容,則依第 3.3 條所授予我們之與該使用者內容相關之權利(不屬於個人資料者),於您終止使用或被排除使用服務時即告終止。但以下情況不適用:

該使用者內容於服務範疇外無任何用途;

該使用者內容僅與您使用服務相關;

該使用者內容已由我們與其他資料匯總,且無法分離或僅能以不成比例之努力分離;或

該使用者內容由您與其他使用者共同產生,且其他使用者仍可使用該資料。

至於個人資料,則適用《隱私權政策》之規定。

免責聲明與責任限制

免責聲明: 本服務及 Running 數位內容係以「現狀」提供。我們不保證或擔保本服務或 Running 數位內容將符合您的期望,或適用於未經明確同意之特定目的。

無醫療建議及健康風險: 您在此確認並同意,本服務及 Running 數位內容不包含任何醫療建議。無論內容由我們、合作夥伴、第三方或使用者提供,本服務及 Running 數位內容均非用以補充,更非取代醫師或藥師所提供之資訊。請務必諮詢醫師,了解您的運動行為。本服務及 Running 數位內容不應被解釋為與醫療建議相抵觸、阻止您諮詢醫師,或用於診斷或驗證任何疾病。我們、本服務及 Running 數位內容既非醫師替代,亦不對您因使用本服務及 Running 數位內容所採取之行為負責。接受本 Running 使用條款,即表示您知悉運動活動始終伴隨風險,且可能影響您的健康,並確認您對自身健康及相關行為承擔全部責任。

使用者身分: 我們不對使用者之實際身分負責,因網際網路僅能有限度地進行個人識別。您應於與其他使用者互動前確認其身分。

網路資料傳輸: 您在此確認並知悉,透過網際網路傳輸個人識別資訊之處理可能存在風險,並可能導致安全事件。在您責任範圍內,該風險由您自行承擔。我們不就此提供任何擔保。

自行承擔風險: 您存取及使用本服務及 Running 數位內容,須自行承擔風險,且不受任何限制,包括:

使用任何硬體之相關風險,例如:(i) 使用「測量脈搏」功能時,長時間按壓拍照燈可能導致手指發熱,(ii) 胸帶,(iii) 智慧型手機轉接器;

下載您自身或第三方內容;

使用我們或合作夥伴所創建或提供之任何內容及其他資料,包括但不限於:(i) 測量之海拔資訊,(ii) 行動建議,例如運動計畫等。您明確承認此類內容或資料可能包含錯誤,且在法律允許範圍內,我們不對該資料之正確性承擔任何責任。

內容: 除法律另有規定外,我們及任何關係企業均不對因使用本服務或 Running 數位內容所提供之任何內容而導致之損害負責,包括因錯誤、問題、病毒或資料遺失所造成之損害。

下載: 我們不對因從本服務或 Running 數位內容下載或取得資料及/或素材而造成之損害負責。您須自行承擔因該素材對您的裝置及系統造成之損害,或因下載資料及/或素材而導致之資訊遺失。

爭議: 您須自行承擔因與其他使用者發生爭議而引起或相關之任何索賠或訴訟責任。您確認並接受,我們在任何情況下均不對其他使用者之行為或不作為負責,包括因該等行為或不作為所造成之損害。

外部內容: 我們不就透過本服務或 Running 數位內容向您提供之外部連結、橫幅或其他資訊及行銷優惠作出任何聲明或保證。您與第三方供應商(例如透過連結網站或橫幅)所訂立之任何契約安排,僅於您與該第三方供應商之間成立。我們不就第三方供應商之服務作出任何聲明或保證。

免責聲明: 我們不保證本服務或所需之硬體及軟體完全無錯誤,亦不保證透過其他系統(特別是網際網路及電信網路)傳輸之資料不會遭第三方追蹤、記錄或竄改。

責任限制: adidas 及其任何關係企業、供應商或服務提供者,均不對任何間接、附帶、後果性、特殊、懲罰性或示範性損害負責,無論基於契約、過失、嚴格責任或其他理論,包括但不限於因利潤、使用、資料、其他無形資產之損失、您所提供資訊之安全性喪失,或第三方未經授權攔截任何相關資訊所造成之損害,即使事先已被告知可能發生該等損害或損失。特別是,adidas 及其關係企業、供應商或服務提供者,均不對因您使用或無法使用本服務或Running 數位內容所造成之任何損害負責,除非該損害係因 adidas 之故意不當行為所致。您對本服務不滿意之唯一且排他性救濟方式,即停止使用本服務。adidas 及其關係企業、供應商或服務提供者對所有損害、損失及訴訟原因之最大責任,無論基於契約、侵權(包括但不限於過失)或其他理論,均不得超過港幣 400 元。

我們得暫停、撤回、中止或更改 adidas Running App 及平台之任何部分。在多數情況下,adidas 進行此類更改係為提升或改善 adidas Running App 及/或平台。我們亦可能因遵守法律變更、技術及/或安全要求,或反映公司及產品策略之調整,以及因應市場及競爭情勢而進行修改。若該等更改未對您使用 adidas Running App 及/或平台造成重大不利影響,adidas 將不會事先通知您任何更改。

內容與商標

版權與所有權: 除使用者內容外,adidas Running App 或平台中所展示或顯示之所有 Running 數位內容,包括但不限於文字、圖形、照片、影像、動態影像、聲音及插圖,均受智慧財產權法保護,並由 adidas、其授權人、供應商、代理人及/或內容提供者所有。

內容使用: 您不得將 adidas Running App、平台或任何 Running 數位內容用於其預期用途以外之目的。除非 adidas Running App 或平台另有明示,您僅可為個人、資訊及非商業目的檢視、播放、列印及下載 adidas Running App 或平台中之文件、音訊及視訊。除適用著作權法另有授權外,您須自行取得重新使用 adidas Running App 或平台中任何受著作權保護之素材之前置許可。就本條款而言,於任何其他行動應用程式、網站或線上服務中使用該等素材均屬禁止。您須自行遵守適用於您及您使用 adidas Running App 和平台之所有法律。adidas Running App、平台、Running 數位內容及所有相關權利,除非另有明示同意,均為 adidas 或其授權人之專屬財產。您不得移除 adidas Running App 或平台中素材所附之任何著作權、商標或其他專有權利聲明。

商標: 平台中使用或與平台相關之所有 adidas 商標、服務標誌及商號(統稱「商標」),均為 adidas 集團或其關係企業、合作夥伴、供應商或授權人之商標或註冊商標。未經 adidas 事先書面同意,您不得以任何方式使用、複製、重製、重新發布、上傳、張貼、傳輸、散布或修改 adidas 商標,包括於與 adidas Running App 或平台中素材散布相關之廣告或宣傳中使用。於任何其他行動應用程式、網站或線上服務中使用 adidas 商標均屬禁止。除非事先獲得批准,adidas 禁止將 adidas 商標作為任何其他行動應用程式、網站或線上服務之「熱連結」。

存取、變更與終止

存取: 我們不對服務及/或 Running 數位內容之可存取性提供任何保證,亦不對任何暫時無法存取或中斷存取承擔責任。

變更: 我們得暫停、撤回、中止或更改 adidas Running App 及平台之任何部分。在多數情況下,adidas 進行此類更改係為提升或改善 adidas Running App 及/或平台。我們亦可能因遵守法律變更、技術及/或安全要求,或反映公司及產品策略之調整,以及因應市場及競爭情勢而進行修改。若該等更改未對您使用 adidas Running App 及/或平台造成重大不利影響,adidas 將不會事先通知您任何更改。

終止: adidas 保留終止 adidas Running App 及/或平台之權利。我們可能因遵守法律變更、技術及/或安全要求,或反映公司及產品策略之調整,以及因應市場及競爭情勢而終止 adidas Running App 及/或平台。所有使用者將透過電子郵件或 adidas Running App 及/或平台內通知,獲得合理之事先通知。請注意,在通知及終止期間,可能適用以下限制:

adidas Running App 將無法再於其他裝置下載。

adidas Running App 及平台將不再進行任何更新,除非為安全及符合條款之目的。這表示若您的裝置作業系統更新,或其他相關第三方技術服務於此期間發生變更,adidas Running App 及平台可能無法使用,adidas 對此不承擔任何責任。

與平台連線: 在 adidas Running App 終止後,該 App 將與平台斷開連線。adidas Running App 功能可能受損,資料將不再與平台同步,但仍可能於您的行動裝置本地端存取。

合約符合性

合約符合性: 我們依法有義務確保本服務及 Running 數位內容符合合約規定。

更新: 作為此法律義務之一部分,我們將不時提供並要求您安裝本服務之安全及技術更新。您有責任立即安裝該等更新,並在必要時更新終端裝置之作業系統,以確保更新順利進行。若您未安裝我們提供之更新,導致本服務不符合規定,我們不承擔任何責任。

救濟措施: 若本服務不符合銷售合約及/或法定符合性要求,您有權要求修正缺陷。您主張不符合性之權利,於您的會員資格終止後二(2)年屆滿。

配合義務: 您須合理配合我們,以評估不符合性原因是否源自您的數位環境。若您未提供此配合,則本服務符合性之舉證責任將由您承擔。

其他條款

準據法及管轄權: 本 Running 使用條款(包括其中所引用之所有政策)受香港法律管轄,並依香港法律解釋。因本Running 使用條款引起或與其相關之任何爭議,均由香港具管轄權之法院專屬管轄。

獨立承攬關係: 本 Running 使用條款不構成,亦不得解釋為在您與 adidas 之間創設任何合夥、合資、僱傭、代理或特許經營關係。

可分割性: 若本 Running 使用條款之任何條款被認定為非法、無效或因任何原因不可執行,該條款應視為可分割,且不影響其餘條款之有效性及可執行性。

權利義務之轉讓: 未經我們事先書面同意,您不得轉讓、移轉或再授權您於本 Running 使用條款下之任何或全部權利或義務。

不可抗力: 因超出我們合理控制範圍之原因,導致我們未能履行本 Running 使用條款下之任何義務,我們不承擔責任,包括但不限於戰爭、恐怖攻擊、罷工、火災、爆炸、疫情(包括但不限於新冠肺炎)或與疫情相關之封鎖、洪水、地震或其他自然災害。

完整協議: 本 Running 使用條款及其中所引用之所有政策,構成您與 adidas 就本條款標的事項之完整協議,並取代您與 adidas 之間先前或同期之任何書面或口頭協議或諒解。

語言: 若英文版本與中文版本之間存在任何不一致或歧義,應以英文版本為準。

第三方權利: 任何人均不得依據《合約(第三者權利)條例》(香港法例第 623 章)享有或行使本條款及細則之任何權利或利益。

adidas Running社群守則

adidas Running 社群是一個由對運動充滿熱情的人所組成的全球健身大家庭。運動只有在大家遵守共同的規則時才有樂趣。我們希望確保遊戲規則清楚列明,讓每位使用者都覺得我們在同一隊。以下是我們的社群守則,說明我們對會員的期望,以及您可以對我們的期望。

尊重他人

每位使用者都是 adidas Running 社群中受重視的成員,應獲得相應的尊重。請記得在我們的平台發佈內容時保持友善與尊重。俗語說,如果沒有好話可說,就什麼都別說。尊重社群所有成員也意味著避免發佈包含或涉及冒犯性內容的圖片或文字。同樣,未經授權的商業廣告,或使用「機器人」或未經批准的合作夥伴進行自動更新,均嚴禁。如果發佈此類內容,將會被刪除,並且進一步違規可能導致使用者被移除。此外,濫用 adidas Running 平台或應用程式功能向其他使用者發送垃圾訊息是禁止的,並將導致帳號刪除。

以下是一些例子(但不限於):

霸凌、恐嚇與貶低內容:禁止霸凌、騷擾或不受歡迎的聯絡,包括重複、性騷擾、大量聯絡,以及基於年齡、性別、種族或性取向的騷擾。禁止涉及身體機能的貶低內容、慶祝死亡或疾病、或非人化的比較。

有害言論與威脅:禁止呼籲自殘或自殺、威脅公開個人資料或造成身體傷害。

性與貶低內容:禁止基於性經驗的攻擊、嚴重性化評論,或貶低性的圖片與詞語。

否認與虛假聲明:禁止否認暴力悲劇,或對受害者做出虛假聲明。

歧視與排斥:禁止基於外貌、性取向、性別認同或疫苗接種狀態的負面言論或排斥性內容。

人口剝削:禁止促進或涉及人口販運、兒童買賣、非法收養或勞動剝削的內容。

健康優先

鼓勵每個人擁有健康且積極的生活方式是我們的首要任務。我們期望社群成員推廣安全與健康的習慣。以尊重的方式開放討論身體形象、飲食習慣等議題是可以接受的。然而,宣傳或美化危險技巧的文字或圖片將不被容忍,並會從我們的平台移除。

禁止內容範例:

  • 自殘與自殺

    :禁止宣傳或描繪自殺、自殘或飲食失調的內容。非血腥的康復內容允許。

  • 敏感健康內容

    :禁止嘲笑這些問題的受害者,或即時呈現自殘行為。

公平競賽

友善且公平的競爭能成為極佳的動力,adidas Running 應用程式中有許多方式可以與其他使用者競賽,但若活動或內容引起作弊疑慮,將會被調查並可能移除。如果我們發現持續作弊,可能會將使用者移出應用程式,但希望這永遠不會發生。此外,請確保在註冊應用程式時提供準確的個人資訊,更多資訊請參閱《adidas Running App 使用條款》。

範例:

  • 作弊

    :禁止在挑戰中作弊、禁止在虛擬賽事中作弊、禁止挖取

    adiClub

    積分(例如超人速度、不合理的活動時間等)。

  • 虛假資訊

    :禁止在註冊應用程式時提供虛假資訊(例如假名、錯誤年齡、盜用圖片等)。

合法行事

我們鼓勵社群成員透過創作獨特且原創的內容,並在 adidas Running 應用程式及社交平台分享,以互相激勵。請確保您擁有分享所用圖片或音樂的權利。請注意,未經授權分發內容可能面臨法律行動。

禁止內容範例:

  • 垃圾訊息

    詐騙政策

    :禁止高頻率發佈

    洗版、虛假互動承諾、欺騙性網址或詐騙行為。

  • 暴力

    :禁止威脅、暴力描繪或招攬暴力服務。禁止鼓勵攜帶武器至敏感地點。

  • 仇恨言論與恐怖主義

    :禁止支持或呈現恐怖攻擊、仇恨事件或相關加害者。禁止美化暴力意識形態或組織。

  • 武器

    :禁止展示或分享違禁武器的內容。

  • 成人性內容

    :禁止性影像、秘密性化影像或剝削企圖。禁止威脅分享私人性對話,或嘲笑非自願性接觸。

  • 兒童性剝削

    :禁止任何威脅、描繪、讚揚、支持、提供指示、表達意圖、承認參與或分享連結的內容,涉及兒童性剝削(包括真實未成年人、嬰幼兒,或具有人類外貌的非真實描繪,如藝術作品、

    AI

    生成內容、虛構角色、玩偶等)。

勇於舉報

作為社群成員,若您懷疑有人違反上述守則,鼓勵您直接在應用程式採取行動。如果您希望舉報使用者,可前往其個人檔案並點擊「舉報使用者」,或聯絡我們的客服團隊(英文:support-en@hk.onlineshop.adidas.com;中文:support-zh@hk.onlineshop.adidas.com)。

您的舉報選擇不會告知被舉報的使用者,僅 adidas Running 可見。我們將調查您的舉報並採取行動。請理解,我們無法保證所有使用者都遵守這些守則,但我們可以共同努力,維持 adidas Running 社群的健康與安全。

請注意,這些守則可能會隨社群需求定期更新。
